Two questions:

In the Task Manager and with only one IE open visually, I get two IEs listed under the process tab.

IE(1) -- 4,612K memory
IE(2) -- 16,232K memory

Why two of them in my Process listing with only one showing on the screen?

Now, I just downloaded Firfox and then checked the memory load between IE and Firefox.

What a difference and a surprise to me. With only one IE and one Firfox open and with the same home page being displayed:

IE(1) -- 4,612K memory (I can't see this on the screen.)

IE(2) -- 16,232K memory

Firefox -- 46,804K (30K more at idle!!)

What's this all about? Why is Firefox so much bigger?

(I'm on Vista 32 bit with SP2 and IE-8.)

IE uses a lot of Windows system DLLs that don't show as part of the application footprint in Task Manager. Firefox doesn't.

Would you say that if the DLLs that IE uses were shown in the Manager, that IE would be at least as large as Firefox?

I expect that IE would be much larger. Most of those DLLs are services that load when you boot Windows, which is why IE seems to load faster. You've already loaded everything but the user interface when you click on the IE icon.

Look at the second tab in Task Manager and you'll see all of the crap that's running behind the scenes.
